1. Acceptance of Terms

By downloading, installing, or using Agent Grids ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software. These Terms constitute a legally binding agreement between you and Phenom ("we," "us," or "our").

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software on your personal devices for your personal or professional use.

• Free Tier: You may use the free version of Agent Grids with the limitations described on our pricing page, including a maximum of 2 terminals and 1 workspace.
• Early Access License: Upon purchase of an Early Access license, you receive a perpetual license to use the Software with all features available at the time of purchase and any future updates released during the Early Access period.

3. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works based on the Software
• Distribute, sublicense, lease, rent, or lend the Software to third parties
• Remove or alter any proprietary notices or labels on the Software
• Use the Software to develop a competing product or service
• Share your license key with others or use a single license on more devices than permitted

4. Intellectual Property

The Software, including all code, design, graphics, and documentation, is owned by Phenom and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or trade names. All rights not expressly granted herein are reserved by Phenom.

5. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Phenom be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of or inability to use the Software, regardless of the cause of action or the theory of liability.

Our total cumulative liability to you for all claims arising from or related to these Terms or the Software shall not exceed the amount you paid for the Software in the twelve months preceding the claim.

7. Termination

We may terminate or suspend your access to the Software at any time, with or without cause, with or without notice. Upon termination, your license to use the Software will immediately cease. You may terminate these Terms at any time by uninstalling the Software and discontinuing use. Sections regarding intellectual property, limitation of liability, and governing law survive termination.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Australia.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website. Your continued use of the Software after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
